Confidentiality Agreement This agreement is made with BAUVISTA Illinois LLC d/b/a BAUVISTA ("BAUVISTA"), for itself and the Asset's owner. Recipient is receiving materials and information about the Asset, including financial information (together, the "Information"). Recipient agrees: 1. Confidential. The Information is confidential and may be used only to evaluate the Asset. 2. Sharing. Recipient may share the Information only within its organization and with its lenders, investors, and attorneys evaluating the Asset with it. Recipient is responsible for any breach by anyone it shares with. The Information may not be forwarded, posted, or given to anyone else, unless required by law. 3. Breach. If Recipient breaches this agreement, BAUVISTA and the Asset's owner may take legal action to stop it and recover damages and attorneys' fees. 4. Basics. The Information is provided as-is, without warranty. This agreement does not cover information that is public, other than through Recipient. Illinois law governs. Electronic acceptance is binding. The signer represents they have authority to bind Recipient.
